He warned that broad contract phrases like “arising out of,” “relating to,” or “including breach of contract” can greatly expand liability beyond what a subcontractor intends to accept.<br /><br />A major theme was that indemnity should ideally be limited to losses “to the extent caused by” the subcontractor’s negligence, which better aligns liability with fault and with typical insurance coverage. He also discussed how breach of contract claims differ from indemnity claims because contract claims are subject to notice, cure rights, liability caps, and damages limitations.<br /><br />Rodriguez highlighted special issues in delegated design, noting that design responsibilities can create additional exposure and may require professional liability insurance. He concluded with practical tips for negotiating indemnity language, reviewing prime contracts, and avoiding hidden risks that can become expensive disputes.
